Digital License Agreement

This Digital License Agreement ("Agreement") governs the terms by which you ("Licensee" or "You") download and use the digital 3D assets, including but not limited to STL, FBX, OBJ, GLB, Blender files, and textures (collectively, the "Assets") provided by FreshSTL ("Licensor", "We", or "Us").

By purchasing, downloading, or using the Assets, you agree to be bound by the terms of this Agreement. If you do not agree, do not download or use the Assets.

1. Grant of License

Upon payment of the applicable fee (processed securely via our Merchant of Record, Whop.com), Licensor grants you a non-exclusive, non-transferable, worldwide, perpetual license to use the downloaded Assets according to the terms set forth below.

You are purchasing a license to use the Assets, not the copyright or ownership of the Assets themselves.

2. Permitted Uses (What You CAN Do)

Subject to the restrictions in Section 3, you are permitted to use the Assets for the following purposes:

a. Personal Use

• You may use the Assets for unlimited personal, non-commercial projects.
• You may 3D print the STL/OBJ files for your own personal use, hobby, or display.
• You may modify the files to fit your personal 3D printing or rendering needs.

b. Commercial Use (Standard Commercial License)

If a commercial license is explicitly included or purchased for the specific Asset:

• You may use the rendered images or videos of the Assets in commercial projects (e.g., animations, video games, promotional graphics, YouTube videos).
• You may 3D print the Assets and sell the physical, printed models.

3. Prohibited Uses (What You CANNOT Do)

You may not, under any circumstances, do any of the following:

• Resell the Digital Files: You may not sell, resell, distribute, sub-license, or rent the original digital Assets (STL, FBX, OBJ, GLB, Blender files, etc.) or any modified digital derivatives of the Assets.
• Redistribute or Share: You may not upload the digital Assets to any peer-to-peer file-sharing networks, websites, or online marketplaces (e.g., Thingiverse, Cults3D, TurboSquid).
• Account Sharing: You may not share your FreshSTL account credentials or download links with third parties.
• Claiming Ownership: You may not claim that you are the original creator or copyright holder of the Assets.
• Creating Competing Asset Packs: You may not compile the Assets into a library, asset pack, or bundle to distribute or sell in competition with FreshSTL.

4. Intellectual Property

All copyright, title, and intellectual property rights in and to the Assets remain entirely with FreshSTL or its respective contributing artists. This Agreement does not transfer any intellectual property rights to you.

5. Termination

This license is effective until terminated. FreshSTL reserves the right to terminate this Agreement automatically without notice if you fail to comply with any of the terms outlined in Section 3 (Prohibited Uses).

Upon termination, you must:

1. Immediately cease all use of the Assets.
2. Destroy all digital copies of the Assets in your possession.
3. Remove the Assets from any projects where they are currently being used.

FreshSTL also reserves the right to suspend or terminate your account on FreshSTL.com for license violations.

6. Liability and Warranty

The Assets are provided "as is" without warranty of any kind, either express or implied. FreshSTL does not warrant that the files will be compatible with your specific hardware (3D printer) or software.

In no event shall FreshSTL be liable for any damages (including, without limitation, incidental, direct, indirect, special, or consequential damages) arising out of the use or inability to use the Assets.

7. Merchant of Record Acknowledgment

You acknowledge that while this License Agreement is between You and FreshSTL regarding the usage of the Assets, the financial transaction for the license is processed by our Merchant of Record, Whop. Whop handles the sale, billing, tax collection, and compliance related to your purchase.
